1. Service Description

We reserve the right to suspend or terminate your account at our sole discretion if we suspect any violation of these Terms or any applicable laws. Upon termination, your right to use the services will immediately cease, and you must cease all use of the services.

3. Acceptable Use Policy

By using our services, you agree to use them only for lawful purposes and in accordance with these Terms. You agree not to use the services:

  • To exploit, harm, or attempt to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
  • To impersonate or attempt to impersonate Mirrorclearing, a mirrorclearing.info employee, another user, or any other person or entity.

Any violation of this Acceptable Use Policy may result in immediate suspension or termination of your access to the services, at our sole discretion.

4. Prohibited Activities

You are prohibited from engaging in any of the following activities while using our services:

  • Using the services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the services.
  • Using any robot, spider, or other automatic devices, process, or means to access the services for any purpose, including monitoring or copying any of the material on the services.
  • Using any manual process to monitor or copy any of the material on the services or for any other unauthorized purpose without our prior written consent.
  • Introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

Any violation of these prohibited activities may result in legal action and/or termination of your account without notice.

5. Content Ownership

All content, features, and functionality on the services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of Mirrorclearing or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the services for your personal or internal business use only. This license does not include any resale or commercial use of the services or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the services or its contents; or any use of data mining, robots, or similar data gathering and extraction tools.

Any unauthorized use terminates the permission or license granted by Mirrorclearing. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our services, except as follows: your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.

6. User-Generated Content

Our services may allow users to submit, post, or transmit content, including but not limited to text, images, and videos (collectively, "User Content"). You retain all rights in, and are solely responsible for, the User Content you submit. By submitting User Content, you grant Mirrorclearing a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media.

You represent and warrant that you own or have the necessary rights to use and authorize Mirrorclearing to use your User Content as described in these Terms. You further represent and warrant that your User Content does not violate any third-party rights, including intellectual property rights, privacy rights, or any other rights.

Mirrorclearing reserves the right to remove or edit any User Content at our sole discretion, without notice, for any reason, including but not limited to violations of these Terms or applicable laws.

7. Payment Terms

Access to certain features of our services may require payment of fees. By subscribing to our services, you agree to pay all applicable fees as outlined on our website. All fees are non-refundable, and you are responsible for paying all taxes associated with your use of the services.

Payment will be processed through a third-party payment processor. By providing your payment information, you authorize Mirrorclearing to charge your payment method for the fees incurred. You agree to provide accurate and complete payment information and to update such information as necessary to keep it current and accurate.

If you fail to make any payment when due, we may suspend or terminate your access to the services until such payment is made. We reserve the right to change our pricing at any time, but any changes will not affect your current subscription until the end of your billing cycle.

8. Service Modifications

Mirrorclearing reserves the right to modify or discontinue, temporarily or permanently, the services or any part thereof with or without notice. You agree that Mirrorclearing will not be liable to you or to any third party for any modification, suspension, or discontinuance of the services.

We may also impose limits on certain features and services or restrict your access to parts or all of the services without notice or liability. Any new features that augment or enhance the current services shall also be subject to these Terms.

It is your responsibility to review these Terms periodically for updates. Your continued use of the services after any changes constitutes acceptance of those changes.

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Mirrorclearing, its affiliates, licensors, or service providers, or their respective officers, directors, employees, agents, contractors, successors, or assigns be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of, or inability to use, the services.

In no event shall Mirrorclearing’s total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing the services during the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. In such jurisdictions, Mirrorclearing’s liability shall be limited to the fullest extent permitted by law.

10. Termination

These Terms are effective until terminated by either you or Mirrorclearing. You may terminate these Terms at any time by discontinuing your use of the services and deleting your account. Mirrorclearing may terminate these Terms and your access to the services at any time, without notice, for any reason, including but not limited to your breach of these Terms.

Upon termination, your right to use the services will immediately cease, and you must cease all use of the services. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Termination of these Terms does not affect any rights or obligations that have accrued prior to the termination date.
